TERMs ANDF CONDITIONS
General Terms of Business
Indian Clients
We start a Project only after the receipt
of written acceptance of the quotation. Acceptance of
the quotation is deemed to include acceptance of these
Terms of Business.
Quotations are valid for 30 days from the date of issue.
If, however, the terms of reference or methods are changed
you agree that the quotation will be revised accordingly.
Quotations are made exclusive of Service Tax. All monetary
amounts are in INR unless agreed by us in writing in
advance. Invoices must be settled in INR to the full
amount with any bank charges to be paid by the client.
Where GNN Research have been asked to provide cash
expenses / incentives a separate Incentive Invoice will
be raised. Such Invoices are due for IMMEDIATE payment
INR FULL.
All other invoices are due for payment after 21 days
unless otherwise agreed in writing.
In the case of invoices that are sent to third parties
the liability for outstanding money shall revert after
40 calendar days to the person or persons or company
responsible for commissioning the Fieldwork.
GNN Research reserve the right to suspend any work
on a Project where invoices are not settled according
to these terms and conditions.
If a Project is cancelled, reduced in scale or curtailed
by arrangement between the Client and the Company, the
Cancellation Provisions as set out in our Cancellation
and Postponement page will apply.
Non Indian Clients
Work on a Project will only commence
upon receipt of written acceptance of the quotation. Acceptance
of the quotation is deemed to include acceptance of these
Terms of Business.

you agree that the quotation will be revised accordingly.
Quotations are made exclusive of Service Tax. All monetary
amounts are in INR unless agreed by us in writing in advance.
Invoices must be settled in INR to the full amount with
any bank charges to be paid by the client. Any amounts
that GNN Research may give in currencies other than INR
are illustrative only.
50% of our Fees are payable on commissioning plus any
disbursements that exceed our credit limits. GNN Research
will raise an Initial Invoice for this purpose. Such
Invoices are due for payment after 7 days. The balance
of the Fees plus all other agreed disbursements will
be invoiced upon completion.
Where GNN Research have been asked to provide cash expenses
they will either be included in the Initial Invoice
or GNN Research may at its sole discretion issue a separate
Actual Reimbursement Invoice. Cash payments will be
made by GNN Research only after settlement of any such
Initial Invoices.
All other invoices are due for payment after 21 days
unless otherwise agreed in writing.
GNN Research reserve the right to suspend any work

Force Majeure
GNN Research shall not be liable for any delays, failures,
losses or damage of any kind whatsoever including any
delay by GNN Research in the provision of any Services
where such delay arises from any cause beyond the reasonable
control of the Company. Such causes include but are not
restricted to Acts of God or of the public enemy fires
floods adverse weather earthquakes traffic or transport
disruption or failure illness epidemics quarantine restrictions
strikes or other industrial action freight embargoes electrical
cut or shortage communication equipment or system failures
acts or omissions of subcontractors or other third parties
or any other circumstances beyond its control.
Jurisdiction and Dispute Resolution
All the matters of dispute shall be subject to Delhi jurisdiction.
Where any party becomes involved in a dispute claim
or potential claim in relation to which they are or
may become parties to legal proceedings they will take
steps to:
a) Follow a reasonable procedure prior to and with
the intention of avoiding formal legal proceedings;
b) Encourage all parties involved to use an alternative
dispute resolution (ADR) procedure at an early stage
and at any other relevant stages where appropriate;
c) in the event that any party involved requests ADR
and any of the parties wishes to decline, put their
reasons for so declining in writing to the other parties
involved.
Standard of Care
GNN Research warrants that personnel possessing competency
consistent with applicable industry standards shall perform
its services. No other representation express or implied
and no warranty or guarantee is included in this document.
During the course of a project GNN Research may carry
out any of the following services. Notwithstanding the
items listed here GNN Research will always consider
every Client request with the aim of satisfying all
the needs of our Clients.
• Provide an estimate of their costs
• Appoint a Project Manager/Executive for the project,
•provide recruitment questionnaire / screener,
(After FW)
• Provide Qualitative Fieldwork schedules,
• Confirm bookings of venues and filming services on
behalf of the Client,
• Prepare and dispatch any materials or equipment requested
by the Client,
• Provide maps and/or directions to venues,
• Arrange and distribute Incentives,
• Provide quota / recruitment updates,
• Edit and validate Quantitative Fieldwork questionnaires,
• Dispatch Quantitative questionnaires for data processing,
• Provide Qualitative respondent details prior to the
date of the event, (As May Be Agreed)
• Make available validation results,
• Prepare a Final Invoice on receipt of final update.
Any service provided by GNN Research is dependent on
the Client fulfilling their obligations. In particular
all details required to complete a task must be finalized
and confirmed at that time and subsequent changes and
amendments to Client requests may affect the services
provided by GNN Research.
Obligations of a Client
A Client must agree to the following:-
• Provide full details of Fieldwork requirements in writing,
• Provide full details of all time-tabling requirements
and deadlines,
• Be available during normal business hours to answer
any queries as and when they arise,
• Provide timely notification in writing of any changes
to the requirements,
• Pay for all venues on departure where possible,
• Reimburse GNN Research in full for any cash expenses
immediately on receipt of invoice,
• Indemnify GNN Research against any claim for damage
to any materials or equipment provided by the Client for
the purposes of the Fieldwork project,
• Indemnify GNN Research against any claim against any
applicable regulations relating to data provided by the
Client,
• Reply to all Final Updates in a timely fashion,
• Notify GNN Research of any invoice queries within 14
days of the invoice date,
• Pay all Final Invoices within 21 days of the invoice
date. Please note that GNN Research does not accept cash
settlement in excess of 15,000 INR (or equivalent) for
any single transaction.
• A Client's exclusive remedy for any claim will be for
GNN Research upon receipt in writing of such a claim either:
(i) to use commercially reasonable efforts to cure at
its expense the matter that gave rise to the claim or
(ii) return to the Client the fees paid to GNN Research
for the particular service that gives rise to the claim.
Requests to commission Fieldwork are only to be made
by persons with the authority to agree to these terms
and conditions. Receipt by us of such a request implies
that the person making the request has the requisite
authority.
